1. Introduction

Welcome to Nestr! These Terms of Use ("Terms") govern your access to and use of the Nestr website, mobile applications, and any other services or platforms (collectively, the "Platform") operated by Nestr the brand of Nestaway Proptech MENA Real Estate LLC. ("Nestr," "we," "us," or "our"). Nestr is a tech-first real estate platform revolutionizing how you buy, rent, and manage properties. By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies or guidelines referenced herein. If you do not agree to these Terms, you may not access or use the Platform.

2. Eligibility and Account Registration

2.1 Eligibility: You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

2.2 Account Registration: To access certain features of the Platform (e.g., listing properties, saving searches, managing properties), you may be required to register for an account. You agree to:

  • a. Provide accurate, current, and complete information during the registration process and keep your account information updated.
  • b. Maintain the confidentiality of your password and account details.
  • c. Be solely responsible for all activities that occur under your account. You must notify Nestr immediately of any unauthorized use of your account.

3. Services Provided by Nestr

Nestr provides a technology-first platform designed to:

  • a. Listing and Discovery: Facilitate the listing of properties for sale or rent by property owners, developers, or agents ("Listing Parties") and enable users ("Prospective Buyers/Renters") to search for and discover properties.
  • b. Property Management: Offer tools and services for the management of properties.
  • c. Information and Tools: Provide market insights, tools, and resources to assist in real estate decisions.
  • d. Seamless Experiences: Leverage technology and thoughtful design to enhance the overall real estate journey.

Nestr's Role: You understand and agree that Nestr primarily acts as a platform and intermediary to connect Listing Parties with Prospective Buyers/Renters. Unless explicitly stated otherwise, Nestr does not own, sell, lease, or manage properties directly, nor does it act as a real estate agent or broker in any transaction. Nestr does not guarantee the accuracy, completeness, legality, or safety of any listings or the quality, legality, or suitability of any properties listed on the Platform. All transactions and agreements related to properties are solely between the respective Listing Parties and Prospective Buyers/Renters.

4. User Conduct and Responsibilities

4.1 General Conduct: You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Platform by, any third party.

4.2 Prohibited Activities: You agree not to:

  • a. Use the Platform for any fraudulent, unlawful, or unauthorized purpose.
  • b. Post, transmit, or otherwise make available any content that is false, misleading, defamatory, obscene, offensive, hateful, or infringes on any intellectual property or privacy rights.
  • c. Engage in any activity that could damage, disable, overburden, or impair the Platform or interfere with any other party's use of the Platform.
  • d. Attempt to gain unauthorized access to any accounts, computer systems, or networks connected to the Platform.
  • e. Use any robot, spider, scraper, or other automated means to access the Platform for any purpose without our express written permission.
  • f. Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • g. Solicit or collect personal data about other users without their express consent.
  • h. Engage in any activity that violates any applicable local, federal, or international laws or regulations in the UAE or any other jurisdiction.

4.3 Listing Responsibilities (for Listing Parties): If you list a property on the Platform, you represent and warrant that:

  • a. You have all necessary rights, licenses, and permissions to list the property and enter into transactions related to it.
  • b. All information, descriptions, images, and data provided in your listings are accurate, complete, truthful, and not misleading.
  • c. You will promptly update your listings to reflect any changes in availability, price, or property status.
  • d. You will comply with all relevant real estate laws and regulations in the UAE, including but not limited to those enforced by the Dubai Land Department (DLD) or other relevant authorities.

5. Intellectual Property Rights

5.1 Nestr Content: All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of Nestr, Aurum PropTech, or its content suppliers and is protected by UAE and international copyright laws.

5.2 User-Generated Content: You retain ownership of any content (e.g., property descriptions, images) you submit or upload to the Platform ("User Content"). However, by submitting User Content, you grant Nestr a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with the operation and promotion of the Platform and Nestr's business.

6. Disclaimers and Limitation of Liability

6.1 "As Is" Basis: The Platform and all content, services, and features are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of information.

6.2 No Guarantees: Nestr does not guarantee that the Platform will be error-free, uninterrupted, secure, or that defects will be corrected. Nestr does not make any representations or warranties regarding the results that may be obtained from the use of the Platform or the accuracy or reliability of any information obtained through the Platform.

6.3 Third-Party Content and Transactions: Nestr is not responsible for the accuracy, legality, or quality of any third-party content, products, or services offered on or through the Platform, including property listings. Any transactions or interactions between users and third parties (including Listing Parties and Prospective Buyers/Renters) are solely at their own risk.

6.4 Limitation of Liability: To the fullest extent permitted by applicable law, Nestr, its affiliates (including Aurum PropTech), directors, officers, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising from or in connection with:

  • a. Your access to or use of, or inability to access or use, the Platform.
  • b. Any conduct or content of any third party on the Platform.
  • c. Any content obtained from the Platform.
  • d. Unauthorized access, use, or alteration of your transmissions or content.
  • e. Any reliance on information obtained from the Platform.
  • f. Any transaction between users or between a user and a third party.

7. Indemnification

7.1 Indemnification: You hereby irrevocably agree to fully defend, indemnify, and hold harmless Nestr, its affiliates (including Aurum PropTech), and their respective shareholders, directors, officers, employees, agents, representatives, and licensors (each, an "Indemnified Party") on demand from and against any and all actual or alleged claims, actions, demands, liabilities, damages, losses, fines, penalties, judgments, awards, costs, and expenses (including, without limitation, reasonable legal and professional fees and expenses, and any amounts paid in settlement) that any Indemnified Party may suffer or incur arising out of, in connection with, or as a result of:

  • a. Your access to or use of the Platform, including but not limited to any services obtained or transactions facilitated through the Platform.
  • b. Your breach or alleged breach of these Terms, any policies referenced herein, or any representations and warranties made by you.
  • c. Your infringement, misappropriation, or violation of any third-party rights, including, without limitation, intellectual property rights, privacy rights, or contractual rights.
  • d. Any User Content you submit, post, transmit, or make available on the Platform, including any claim that such User Content caused damage to a third party.
  • e. Any act or omission by you, your agents, or representatives, including any negligence or willful misconduct.

Your indemnification obligations hereunder are cumulative and shall not be deemed to exclude any other rights or remedies to which Nestr or any Indemnified Party may be entitled by law or in equity. Nestr reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Nestr.

8. Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal data.

9. Modifications to Terms

Nestr reserves the right to modify or update these Terms at any time, in our sole discretion. We will notify you of any material changes by posting the updated Terms on the Platform or through other appropriate communication channels. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the local laws of the Emirate of Dubai, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the Dubai Courts.

11. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

12. Entire Agreement

These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and Nestr regarding your use of the Platform.
